Company Purpose and Covered Activities
This policy suite is designed for JMC Legacy Enterprise, LLC, a for-profit business that may engage in the following activities:
- Business consulting
- Speaking engagements
- Brand partnerships and sponsorships
- Marketing and promotional services
- Event planning and management
- Community initiatives and collaborations
- Strategic partnerships
- Media and entertainment activities
- Any other lawful business activity
1. Intellectual Property Policy
All intellectual property created, owned, purchased, licensed, commissioned, or developed by JMC Legacy Enterprise, LLC remains the sole property of the company unless a signed written agreement expressly states otherwise.
Protected intellectual property includes, but is not limited to, business names, trade names, logos, slogans, brand concepts, service names, event names, website content, written materials, templates, training content, proposals, pitch decks, sponsorship packages, marketing plans, social media content, photographs, videos, audio, recordings, designs, graphics, presentations, strategy documents, workflows, proprietary methods, event concepts, media concepts, and entertainment-related materials.
Clients, sponsors, vendors, attendees, contractors, partners, collaborators, and third parties receive only the limited rights expressly granted in writing. No implied license, ownership transfer, resale right, sublicensing right, or commercial use right is granted by discussion, payment, attendance, sponsorship, partnership, or participation.
Unauthorized copying, use, distribution, editing, posting, recording, publication, resale, reproduction, reverse engineering, derivative use, or commercial exploitation of company intellectual property is prohibited.
2. Ownership of Work Product and Client Deliverables
Unless a written and signed agreement states otherwise, JMC Legacy Enterprise, LLC, retains ownership of its pre-existing materials, templates, frameworks, know-how, concepts, strategies, outlines, tools, methods, and internal processes.
Client deliverables may be used by the paying client only for the approved purpose identified in the applicable agreement or invoice. Deliverables may not be sold, transferred, published, licensed, submitted by another provider as original work, or reused for unrelated businesses without written and signed approval.
Final transfer of any rights, if applicable, is conditioned on full payment of all amounts owed.
3. Brand Use and Sponsorship Policy
The name “JMC Legacy Enterprise, LLC”, any trade names, logos, marks, images, slogans, service names, business concepts, event names, and promotional materials may not be used by sponsors, partners, vendors, media outlets, contractors, or collaborators without written approval.
Sponsor recognition may include approved logo placement, website acknowledgment, social media mention, event signage, speaking recognition, or marketing visibility only as stated in a written sponsorship agreement.
Sponsors and partners may not imply exclusivity, endorsement, ownership, investment relationship, agency authority, guaranteed affiliation, or ongoing partnership unless specifically authorized in writing.
The company may deny, suspend, remove, or terminate sponsor or partner recognition if the sponsor, partner, vendor, or collaborator engages in conduct that may harm the company’s brand, reputation, contractual obligations, legal compliance, safety, values, or business interests.
4. Media, Likeness, and Promotional Content Policy
Photographs, videos, audio recordings, interviews, testimonials, public comments, social media posts, and event coverage may be used by JMC Legacy Enterprise, LLC for lawful business, promotional, reporting, advertising, portfolio, media, and documentation purposes when permitted by law or authorized by release.
No sponsor, vendor, attendee, partner, contractor, media outlet, or third party may use company footage, photographs, logos, appearances, names, testimonials, likeness, voice, or promotional assets for commercial purposes without written permission.
Paid appearances, endorsements, social media campaigns, sponsored content, advertising campaigns, media productions, and brand partnerships must be governed by a separate written agreement.
5. Speaking Engagement and Appearance Policy
All speaking engagements, panel appearances, interviews, public appearances, hosting services, promotional appearances, and entertainment-related appearances by JMC Legacy Enterprise, LLC or its representatives must be approved in writing.
Event hosts and partners may not record, livestream, edit, distribute, monetize, reuse, or promote appearance content beyond the approved scope without written consent.
Fees, travel, accommodations, promotion, event schedule, cancellation terms, recording rights, media rights, security, and brand use must be documented in writing before the appearance.
6. Event Vendor and Contractor Terms
Vendors, contractors, subcontractors, suppliers, entertainers, speakers, production teams, photographers, videographers, food vendors, venue providers, and service providers must comply with all applicable laws, permits, insurance requirements, safety rules, venue requirements, payment terms, and company instructions.
Vendors must maintain appropriate licensing, insurance, staffing, equipment, safety practices, and permits for their services. The company may request certificates of insurance, indemnification, background checks, contracts, waivers, tax forms, or other documentation.
Vendors agree to indemnify and hold harmless JMC Legacy Enterprise, LLC from claims arising from their goods, services, employees, subcontractors, equipment, conduct, negligence, intellectual property infringement, licensing issues, food safety issues, property damage, injuries, or legal violations.
7. Confidentiality, Non-Circumvention, and Business Opportunity Protection
Business plans, sponsorship opportunities, investor or partner contacts, vendor contacts, marketing concepts, event concepts, pricing models, project documents, pitch materials, and strategic information shared by JMC Legacy Enterprise, LLC are confidential unless publicly available or approved for release.
Recipients may not bypass, circumvent, exploit, disclose, copy, or use company opportunities, contacts, introductions, strategies, pricing, proposals, or project concepts for their own benefit or for the benefit of another party without written permission.
Where appropriate, the company may require a separate nondisclosure, non-circumvention, partnership, sponsorship, vendor, consulting, or development agreement.
8. Conflict, Reputation, and Moral Conduct Policy
JMC Legacy Enterprise, LLC may reject or terminate relationships, projects, sponsorships, partnerships, vendor relationships, speaking engagements, brand collaborations, or event participation when a person or entity engages in conduct that may create legal risk, reputational harm, brand confusion, unsafe conditions, public controversy, discrimination, harassment, fraud, misrepresentation, intellectual property misuse, or conflict with company interests.
This policy applies before, during, and after a project, event, campaign, or collaboration when the conduct affects the company’s business, brand, reputation, or legal interests.
9. No Agency, Partnership, or Employment Relationship
Unless a signed written agreement expressly states otherwise, no sponsor, partner, vendor, contractor, collaborator, attendee, client, consultant, or third party is authorized to act as an employee, agent, representative, partner, joint venturer, broker, investment adviser, or legal representative of JMC Legacy Enterprise, LLC.
No party may bind the company, make commitments on its behalf, collect money on its behalf, use its credit, use its tax identification information, sign agreements on its behalf, or make representations about the company without written and signed authorization.
10. Records, Approvals, and Written Consent
Important approvals involving JMC Legacy Enterprise, LLC, should be documented in writing. This includes intellectual property use, media use, sponsorship recognition, brand partnerships, event participation, vendor participation, speaking engagements, payment terms, confidentiality terms, and project authorization.
Text messages, emails, invoices, proposals, agreements, forms, and signed documents may be used to confirm the approved scope, but high-risk matters should be formalized in a written agreement reviewed by counsel.
11. Enforcement and Remedies
JMC Legacy Enterprise, LLC reserves all rights and remedies available by law and contract for unauthorized use of its intellectual property, breach of confidentiality, nonpayment, misrepresentation, brand misuse, improper sponsorship claims, event disruption, vendor violations, unlawful conduct, or other policy violations.
Available remedies may include removal from events, denial of services, termination of collaboration, removal of sponsor/vendor benefits, demand to remove content, cease-and-desist communication, invoice collection, damages, attorney fees where available, injunctive relief, and other lawful remedies.
